RESPONSIBILITIES

• Build up legal practice to ensure full compliance to regulatory in healthcare/medical sector, business & labour laws.
• Research, conduct legal analysis, propose solutions and processes to deal with legal matters (business activities and business expansion, patent/trademark registration, promotional campaigns, public registration and public listing/IPO,…).
• Review current client and vendor agreement templates (distribution services, trading, sponsorship and leasing agreements).
• Build up contract review procedures, contractual library, standard terms & conditions and oversee for new client and vendor contracts.
• Meet, interview clients or vendors to conduct legal analysis (if required to access legal risk).
• Provide commercially sensible and cost-effective legal advice on client and vendor contracts.
• Draft legal opinions, memoranda, and briefing documents on legal matters.
• Resolve disputes and claims.
• Provide arbitration, litigation and mediation support.
• Act on behalf of the company in disputes, if necessary.
• Provide legal advice on related party transactions.
• Manage scope, budget and actual spending in dealing with third party legal services.
• Take lead to work with investors on legal due diligence, review, comment and propose revision on SHA/SPA for fundraising purposes.
